1. Agreement to Terms

These Terms of Service ("Terms")constitute a legally binding agreement between you ("you" or "User")and Zauber Technology GmbH ("Zauber", "we", "us",or "our"), a company registered in Germany with its registeredoffice at Almstadtstraße 18, 10119 Berlin, Germany, represented by its ManagingDirector Erik Muttersbach.

These Terms govern your access to and use of our website at gozauber.com, including all subdomains, content, and functionalityoffered on or through the website (collectively, the "Website").

By accessing or using the Website, you acknowledge that youhave read, understood, and agree to be bound by these Terms. If you do notagree to these Terms, you must discontinue use of the Website immediately.

These Terms apply exclusively to the use of the Website.The use of Zauber’s software platform and related services is governed byseparate enterprise agreements entered into individually with each customer.

The Website serves as an informational resource aboutZauber and its AI-powered software platform. The Website provides generalinformation about our company, products, services, and contact details. TheWebsite does not offer self-service access to our software platform, accountregistration, or any transactional functionality.

3. Changes to These Terms

We reserve the right to modify or replace these Terms atany time at our sole discretion. We will indicate the date of the last revisionby updating the “Last updated” date at the top of these Terms. Changes becomeeffective upon posting to the Website. Your continued use of the Website afterany changes constitutes acceptance of the revised Terms. Unless otherwise indicated, the Website and all of itscontent, features, and functionality, including but not limited to text,graphics, logos, icons, images, audio, video, software, and the design,selection, and arrangement thereof (collectively, the "Content"),are owned by Zauber, its licensors, or other providers of such material and areprotected by German and international copyright, trademark, patent, tradesecret, and other intellectual property or proprietary rights laws.

You are granted a limited, non-exclusive, non-transferable,and revocable license to access and use the Website and its Content solely forpersonal, non-commercial, informational purposes. This license does not includethe right to:

• modify, create derivativeworks from, or reverse engineer any Content;

9. Limitation of Liability

The foregoing limitation of liability shall not apply todamages caused by intent or gross negligence, or to any liability that cannotbe excluded or limited under applicable German law, including liability fordamages resulting from injury to life, body, or health, liability under theGerman Product Liability Act (Produkthaftungsgesetz), or liability arising froma breach of cardinal obligations (wesentliche Vertragspflichten). In the caseof a breach of cardinal obligations caused by ordinary negligence, Zauber’sliability shall be limited to the foreseeable, contract-typical damages.

10. Indemnification

To the extent permitted by applicable law, you agree toindemnify and hold harmless Zauber, its officers, directors, employees, andagents from and against any claims, liabilities, damages, losses, costs, orexpenses (including reasonable legal fees) arising out of or in connection withyour use of the Website in violation of these Terms or applicable law.

11. Governing Law and Jurisdiction

These Terms and any dispute arising out of or in connectionwith them or their subject matter shall be governed by and construed inaccordance with the laws of the Federal Republic of Germany, excluding itsconflict of law provisions and the United Nations Convention on Contracts forthe International Sale of Goods (CISG).

The exclusive place of jurisdiction for all disputesarising from or in connection with these Terms shall be Berlin, Germany, to theextent permitted by applicable law.

12. Severability

If any provision of these Terms is held to be invalid,illegal, or unenforceable, the remaining provisions shall continue in fullforce and effect. The invalid or unenforceable provision shall be replaced by avalid and enforceable provision that comes closest to the intent and economiceffect of the original provision.

13. Waiver

No waiver by Zauber of any term or condition set out inthese Terms shall be deemed a further or continuing waiver of such term orcondition or a waiver of any other term or condition. Any failure by Zauber toassert a right or provision under these Terms shall not constitute a waiver ofsuch right or provision.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitutethe entire agreement between you and Zauber regarding the use of the Websiteand supersede all prior and contemporaneous understandings, agreements,representations, and warranties, both written and oral, regarding the Website.For the avoidance of doubt, these Terms do not govern the use of Zauber’ssoftware platform or any services provided under separate enterpriseagreements.
